What is a Limited Company Guarantee?

A Limited Company by Guarantee is a type of company that doesn’t have shareholders or shares. Instead, it has guarantors who agree to pay a set amount (usually £1) if the company is closed and owes money. This structure is often used by non-profit organisations, charities, clubs, or community groups. Like other limited companies, it is a separate legal entity and must register with Companies House. The guarantors have limited liability, meaning they are only responsible for the guaranteed amount.
