Confirmation Statement for Limited Company in London
A confirmation statement is a short annual filing you send to Companies House to confirm that the information they hold about your limited company is correct. It doesn’t report your profit, tax, or trading activity. It simply checks that details such as your registered office address, directors, shareholders, and people with significant control are up to date. Every limited company and LLP registered in the UK must file one at least once every 12 months, and missing the deadline can lead to penalties or, in serious cases, the company being struck off the register.
A confirmation statement is not the same as your annual accounts or your Corporation Tax return. It goes to Companies House rather than HMRC, and it deals with your company’s structure and ownership rather than its finances. Think of it as a health check on your public record, rather than a report on how your business is performing.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.Posted on Google![]()

How Do I Do a Confirmation Statement for My Limited Company?
Filing a confirmation statement is meant to be straightforward, and for most small companies it is, provided the underlying records are already accurate. Here’s how the process works in practice:
Before filing, review the details Companies House already holds. Log into WebFiling or your company formation software and check that your registered office, directors, PSC register, and shareholder information all still reflect reality.
If a director has resigned, shares have been transferred, or your registered address has moved, these changes need to be reflected before or during your filing. Some changes, such as a new director, are filed separately and then picked up automatically on your next confirmation statement.
If your share structure or significant control has changed since your last filing, you'll need to update the statement of capital and PSC register as part of the process.
Once everything is correct, you submit the confirmation statement and pay the Companies House fee. The statement is then reviewed and, assuming everything is in order, accepted onto the public register.

What’s Included In Our Confirmation Statement Package?
When you choose our confirmation statement for limited company service, you receive dedicated support that prioritises your business’s long-term health and legal standing.
How Often Is a Confirmation Statement Required?
A confirmation statement is required at least once every 12 months. You’re free to file more often if you’d like your record to reflect changes sooner, and doing so doesn’t reset your annual fee. Once you’ve paid the Companies House fee for a review period, you can file as many confirmation statements as you need within that same 12-month period without paying again.
In practice, most companies file once a year, right at the end of their review period, and use the opportunity to double check that everything on the public record is still correct.
How Do We Review and Verify Your Company Details?
We review the information included in your confirmation statement to ensure it is consistent with your company’s statutory records and Companies House filings. This helps reduce the risk of inconsistencies on the public register and supports accurate company records.
- Review of the Register of Members.
- Update of the Register of Directors.
- Verification of Registered Office address.
- Checking of Standard Industrial Classification (SIC) codes.
- Validation of statement of capital.
How Do Company Changes Affect Your Confirmation Statement?
Beyond filing your confirmation statements, we provide guidance on how changes in your company can affect your reporting obligations. If you plan to issue new shares, change directors, or make other corporate updates, we advise on the timing and process to help you stay compliant and efficient with your filings.
Filing a confirmation statement late isn’t treated the same way as filing accounts late, since there’s no automatic financial penalty attached to the statement itself. However, failing to file at all is a criminal offence, and Companies House can take action against the company and its directors, including:
- Issuing formal warnings and following up directly with directors
- Beginning compulsory strike-off proceedings, which can result in the company being dissolved
- Prosecuting directors personally for failing to meet their statutory duties
FAQs About Confirmation Statement for Limited Company
What is a confirmation statement for limited company?
It is an annual filing required by Companies House. It confirms your company details are correct.
How often do I need a confirmation statement service?
You are required to file at least one statement every 12 months. However, you can choose to file more frequently if you need to update your shareholding information for investors or banks.
How does your confirmation statement service in London work for remote clients?
Although our office is in London, our entire process is handled through secure digital portals. Therefore, distance is not an issue. We use electronic filing systems that allow you to review and sign off on your documents from your phone or laptop in seconds, regardless of where you are in the UK.
Can I change my directors during this filing?
You can, as the statement is designed to reflect the company’s current standing. However, HMRC and Companies House usually prefer that changes to personnel are reported as they happen. If you’ve had a shake-up during the year, we’ll look at your records and advise on the most efficient way to get everything logged correctly.
Do I have to file if my company is dormant?
Yes, even if your company is not trading, you must still file a confirmation statement for limited company. This keeps the company “active” on the register. As a result, you can use it again in the future.
